Terms and Conditions

Last updated: October 2026Colin Velten Vahrenhorst

These General Terms and Conditions apply to contracts with Vellinger for websites and automations. Our services are offered to businesses only. Anything agreed in an individual case, for example in a written offer, takes precedence over these terms (§ 305b BGB). This is a translation; the German version is legally binding.

Section 01

§ 1 Scope

(1) These terms apply to all contracts between Colin Velten Vahrenhorst, trading as Vellinger, Akazienweg 27, 33790 Halle (Westfalen), Germany ("Vellinger"), and its clients. (2) Vellinger only enters into contracts with businesses within the meaning of § 14 BGB, legal entities under public law and special funds under public law. On conclusion of the contract the client confirms that it is acting in the course of its commercial or independent professional activity. (3) Deviating terms of the client only apply if Vellinger expressly agrees to them in text form. (4) The services are governed in 3 parts: Part A website package, Part B intro call, Part C automations. Part D applies to all services.

Section 02

§ 2 Conclusion of contract

(1) Information on the website is not a binding offer. A contract is only concluded by an offer from Vellinger in text form and its acceptance by the client in text form, or by an order confirmation from Vellinger. (2) The website package and automations are only offered after an intro call. (3) Text form (for example email) is sufficient for all declarations under these terms.

Section 03

Part A · § 3 Website package: services

(1) Vellinger builds an individually designed website for the client and looks after it on an ongoing basis. The exact scope is set out in the offer. Unless agreed otherwise, the base package includes: • design and build of up to 8 pages in one language; • a call in which Vellinger works out the content with the client, and the writing of the copy; • hosting on servers in Germany, domain and SSL certificate; • 4 email mailboxes with 20 GB each; • uptime monitoring every 5 minutes, security and software updates and regular backups; • changes in accordance with § 6; • integration of the legal notice and privacy policy based on vetted templates from a specialised provider, filled in with the client's details; Vellinger applies the provider's updates. The client remains responsible for the accuracy of their details. This does not include legal advice; • submission of all pages to Google for indexing. (2) Not included unless agreed separately: online shop, booking systems, photo shoot, logo and corporate design, and advertising. The client provides photos. (3) Before placing an order, the client receives 3 designs for the homepage after the intro call. The designs and the intro call are free of charge and non-binding.

Section 04

§ 4 Website package: fees and payment

(1) The prices in the offer apply. All prices are subject to statutory VAT. (2) The one-time setup fee and the first monthly fee become due when the contract is concluded. (3) Monthly fees are invoiced monthly in advance. Invoices are payable within 14 days without deduction. Vellinger does not invoice for periods in which no monthly fees are due under § 7 (1).

Section 05

§ 5 Website package: term, termination and handover

(1) The minimum term is 12 months from conclusion of the contract. After that the contract renews by one month at a time and can be terminated with one month's notice to the end of a month. (2) The right to terminate for good cause remains unaffected. (3) The domain is registered in the client's name from day one. The client's texts, images and data remain the client's property. (4) After the minimum term, Vellinger hands the website over free of charge at the client's request: a complete copy of the website, access details and a handover guide. With the handover the client receives the right, unlimited in time and place and transferable, to use, modify and pass on the website. (5) If the client wishes to take over the website before the end of the minimum term, the handover takes place after payment of the monthly fees outstanding until the end of the minimum term. (6) Until the handover, the client receives a simple right, limited to the term of the contract, to use the website for its business. (7) If Vellinger ceases trading, the client receives the website with all access details and a handover guide, without further payment.

Section 06

§ 6 Website package: changes

(1) Changes to existing content or pages, such as new texts, images, opening hours or prices, are included in the monthly fee to the extent agreed in the offer, at least 2 changes of up to 30 minutes of work each per calendar month. A change that takes longer counts as one change per 30 minutes or part thereof; if the allowance is not enough, Vellinger provides an offer beforehand. Unused changes do not carry over to the following month. (2) Vellinger responds to change requests no later than the next working day (Monday to Friday, except public holidays in North Rhine-Westphalia). The response states when the change will be made. (3) Larger changes, new pages, new functions or a new design are not included. Vellinger will provide a separate offer on request.

Section 07

§ 7 Website package: commitments

(1) Live in 30 days: the website is live no later than 30 days after conclusion of the contract. This requires the client to provide content, access and approvals within 3 working days of each request. Periods in which Vellinger is waiting for the client extend the deadline accordingly. If the website is not live when the deadline expires, the client pays no monthly fees from that day until it is live; fees resume on the day the website goes live. In this case the client may also terminate the contract with immediate effect, regardless of the minimum term. (2) Loading speed: on the day of handover, the homepage achieves at least 90 points in Google PageSpeed Insights for mobile (performance, median of 5 measurements). If this score is not reached, Vellinger improves the site free of charge until it is. Vellinger does not commit to any particular ranking on Google or to inclusion in the Google index, as only Google decides this. (3) Vellinger does not commit to a specific availability percentage. Vellinger monitors the website and fixes faults within its area of responsibility as quickly as possible.

Section 08

§ 8 Website package: client's cooperation

(1) The client provides the content that only it can provide (for example photos, logos, company details) and approves designs and texts. (2) The client ensures that it holds the necessary rights to the content it provides and indemnifies Vellinger against third-party claims based on that content. (3) For the legal texts of the client's website (imprint, privacy policy), Vellinger provides a generator service and maintains the texts on the website. The client is responsible for the accuracy of the information about its business.

Section 09

Part B · § 9 Intro call

(1) The intro call is free of charge and non-binding. It serves to understand the client's needs and creates no obligation to pay. (2) Calls can be rescheduled or cancelled at any time via the link in the confirmation. (3) Where automations are concerned, after the intro call Vellinger states in a second meeting which processes are worth automating and a fixed price for the implementation.

Section 10

Part C · § 10 Automations

(1) The scope and fixed price of an automation are set out in the written offer. The price is fixed unless the client changes the agreed scope. (2) Vellinger sets up the automation on the client's accounts where technically possible. Where artificial intelligence services are used, they process data in the EU. Data is stored on servers in Germany unless the offer states otherwise. (3) After implementation, Vellinger checks with the client whether the automation runs as agreed and makes improvements if it does not. (4) Ongoing support of an automation (monitoring, adjustments, troubleshooting) is a separate contract. Price and term are set out in the offer. If no term is agreed, support can be terminated with one month's notice to the end of a month. (5) When support ends, Vellinger hands over all processes with documentation on the client's accounts. The client can then continue to use them itself or with another provider. (6) Vellinger handles reported faults within 3 working days. This describes the service; it is not a guarantee of a particular result.

Section 11

Part D · § 11 Data processing and confidentiality

(1) Where Vellinger processes personal data on behalf of the client (for example from contact forms, mailboxes or automations), the parties conclude a data processing agreement pursuant to Art. 28 GDPR. (2) Both parties treat the other party's confidential information as confidential, including after the end of the contract. (3) Vellinger may only name the client as a reference with the client's consent.

Section 12

§ 12 Liability

(1) Vellinger is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and within the scope of any guarantee given. (2) In the event of a slightly negligent breach of an essential contractual obligation (an obligation whose fulfilment makes performance of the contract possible in the first place and on whose fulfilment the client may rely), liability is limited to the foreseeable damage typical for the contract. (3) Otherwise, liability for slight negligence is excluded. (4) For loss of data, Vellinger is only liable for the effort that would have been required to restore it had the data been properly backed up. (5) Vellinger is not liable for outages or changes of third-party services (for example Google, hosting providers, interfaces of other software) for which it is not responsible.

Section 13

§ 13 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. (2) To the extent permitted by law, the place of jurisdiction for all disputes is Vellinger's place of business in Halle (Westfalen), Germany. (3) Vellinger may amend these terms with effect for the future. Amendments are notified to the client in text form at least 6 weeks before they take effect. If the client does not object within this period, they are deemed accepted; Vellinger points this out in the notification. Prices and the agreed scope of services are not changed in this way. (4) Should any provision be invalid, the rest of the contract remains valid. The statutory provision takes the place of the invalid provision.
